9.  Résiliation du contrat :

-          Pas de nouvelle commande confirmée pour le trimestre suivant

-          Pas de paiement du solde de la facture et intervention de la lettre de crédit STAND-BY

-          Résiliation par lettre recommandée 3 mois avant la commande trimestrielle.

10. Modalité de transport :

-          A charge du distributeur, enlèvement en usine sur palette Euro de +- 1m3

-          Port à charge du distributeur

-          Responsabilité du distributeur.

11. Langue et conformité

- Le français et/ou l’anglais devra obligatoirement figurer comme langue de référence

- Le distributeur est responsable de l’emploi des langues dans sa zone de distribution.

- Le distributeur sera responsable de fournir les traductions conforme au langue de référence et us et coutume dans sa zone de distribution.

- Le distributeur sera responsable de la conformité de l’emballage, marquage, recyclage et taxes diverses due dans la zone de distribution.

12. Publicité et communication

Le distributeur communiquera pour accord tous documents relatifs au produit pour accord au moins un mois avant sont utilisation.

13. Propriété

Ce contrat de distribution ne cède pas la propriété et reste la propriété de Jean Pierre MAGEREN.

L’enregistrement Européen : CPNP (Cosmetic Products Notification Portal) est la propriété de Jean Pierre MAGEREN et n’est pas cédé au distributeur.

14. Clauses contractuels et confidentiel

Etant donné le caractère confidentiel de ces informations et de façon à assurer leur protection contre un emploi intempestif ou une divulgation non autorisée à des tiers, le Contractant

s’engage à :

- ne fournir ces informations qu’à ses membres permanents qui acceptent de se soumettre aux obligations du présent accord de secret,

- prendre toutes les mesures raisonnables pour éviter que ce personnel ne divulgue à des tiers, sans autorisation écrite préalable du Titulaire, tout ou partie de ces informations,

- ne pas déposer de demande de brevet ou d’autres titres de propriété industrielle incluant ces informations sans autorisation écrite du Titulaire,

- ne pas utiliser ces informations dans le but d’une exploitation directe ou indirecte sans autorisation écrite du Titulaire.

Aucune des présentes dispositions ne peut être interprétée comme concédant au Contractant une licence et/ou un privilège quelconque à quelque titre que ce soit, sur l’utilisation des informations.

Tout usage des informations devra donc être subordonné à la signature préalable d’un accord spécifique entre le Titulaire et le Contractant, destiné notamment à préciser les modalités d’exploitation éventuelle des droits de propriété industrielle qui résulteraient des travaux engagés à la suite de cet accord de secret.

Le présent accord de secret sera valable à compter de sa date de signature et durera autant que lesdites informations ne seront pas dans le domaine public.

15. Les Conditions Générales du Contrat Modèle ICC de vente internationale  (Produits manufacturés)

Toute question relative à l'exécution de ce Contrat, qui ne serait pas expressément ou implicitement traitée par les stipulations du Contrat lui-même (c'est-à-dire dans les Conditions Générales ou dans les Conditions Particulières convenues entre les contractants) sera régie :

A.      par la Convention des Nations Unies sur les Contrats de Vente Internationale de Marchandises (Convention de Vienne de 1980, ci-après désignée comme la Convention de Vienne ou « CVIM »), et

B.      par référence à la loi du pays où le Vendeur a son principal établissement, dans la mesure où la question ne serait pas réglée par la Convention de Vienne et qu’aucun droit applicable n’a été choisi.

9.                    Termination of Contract   :

-          No more order for the next quarter

-          Lack of  payment of  the bill and intervention of the letter of credit STAND-BY

-          Termination by registered letter 3 months before the quarterly order .

 10.             Terms of transport   :

-          The distributor is responsible for the collection of order in the factory on Euro pallets of + - 1m3

-         The distributor is responsible for the transportation cost

-          Responsibility of the distributor.

11.             Language and Compliance

- French and / or English must be the language used

- The distributor is responsible for the use of languages in its area of distribution.

- The distributor is responsible for providing well-formed translation and respecting traditions and custom in its area of distribution.

- The distributor is responsible for the conformity of the packaging, labelling, recycling and other taxes due in the area of distribution.

12.             Advertising and communication

The distributor must ask for agreement all documents relating to the product at least one month before its use.

13.             Property

This distribution agreement does not transfer ownership and remains the property of Jean Pierre Mageren.

The European registration   : CPNP (Cosmetic Products Notification Portal) is the property of Jean Pierre Mageren and is not transfer to the distributor.

14.             Confidentiality and Contractual Obligation

Given the confidential nature of such information and to ensure their protection against unauthorized or inconvenient use , the Contractor is committing to:

-  provide such information only to the permanent members who agree to comply with the obligations of this secret agreement,

- Take all reasonable steps to avoid the staff to disclose part of all the information without prior written consent of the Holder.

- not to apply for any other industrial property rights including this information without written consent of the Owner

- not to use this information for the purpose of direct or indirect use without the written consent of the Holder.
 

No measures present in this paper can be construed as granting the license to the Contractor and / or any privilege whatsoever the use of information.

Any use of information will be subject to the prior signing of a specific agreement between the Owner and the Contractor, in particular for defining the modalities for possible use of industrial property rights resulting from work undertakenas a result of this agreement secret.

This confidentiality agreement will be valid from the date of signature and will last as long as the information will not be in the public domain.

15.                The General Conditions of Contract ICC Model International Sale(Manufactured Goods)

Any question relating to the execution of this Agreement, which is not expressly or impliedly treated by the provisions of the Agreement itself (that is to say in the General Conditions or the Special Conditions agreed between the contracting parties) will Economy:

A.                    by the United Nations Convention on Contracts for the International Sale of Goods (Vienna Convention of 1980, hereinafter referred to as the Vienna Convention or "   CISG   "), And

B.                     in reference to the law of the country in which the seller is established , to the extent that the question is not regulated by the Vienna Convention and any applicable law has been chosen.
